Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the Qbankly application (the "Service") operated by Qbankly ("us", "we", or "our"). Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Service.

1. Accounts and Registration

To access the Service, you must register for an account using a valid license key. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding the password and are responsible for all activities that occur under your account. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

By creating an account, you agree to our Privacy Policy and consent to receive communications from us electronically. If you opt-in, you may also receive marketing communications, which you can unsubscribe from at any time.

2. License to Use Service

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-sublicensable, non-transferable, revocable license to access and use the Service for your personal, non-commercial educational purposes.

3. Intellectual Property Rights

The Qbankly platform, including its software, source code, design, interface, analytics tools, and progress tracking features (collectively, the "Platform"), is the exclusive property of Qbankly and its licensors. The Platform is protected by copyright, trademark, and other laws.

However, Qbankly does NOT claim ownership of any educational content, including but not limited to question banks, individual questions, clinical vignettes, images, videos, audio files, and other study materials (collectively, "Third-Party Content") that may be accessible through or hosted on the Service. All such Third-Party Content is the intellectual property of its respective owners and is provided by third parties.

4. Content Licensing and Third-Party Liability

STRICT LIABILITY DISCLAIMER:

Qbankly operates solely as a technical service provider, offering a platform for progress tracking, analytics, and study management. We act as a router and interface for content that is hosted by or provided by third parties. We do not create, own, or license the Third-Party Content available via the Service.

By accessing, purchasing a key for, or using Qbankly, you explicitly acknowledge and agree to the following:

User Responsibility for Licensing: You represent and warrant that you have obtained all necessary licenses, subscriptions, or permissions directly from the rightful owners of any Third-Party Content you access through Qbankly. It is your sole responsibility to ensure you are legally authorized to view and use this content.
Platform Role: Qbankly's role is strictly limited to providing the software tools to track your performance and progress. We are not a publisher or licensor of the medical education content.
Indemnification: You agree to indemnify, defend, and hold harmless Qbankly, its directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from your failure to obtain proper licensing for any Third-Party Content or your violation of any third-party intellectual property rights.

5. User Conduct and Restrictions

You agree not to use the Service to:

Copy, distribute, or disclose any part of the Service in any medium, including without limitation by any automated or non-automated "scraping".
Use any automated system, including "robots," "spiders," "offline readers," etc., to access the Service.
Attempt to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running the Service.
Share your account password or otherwise allow any other person to access or use your account.

6. Payments and License Terms

Access to the Service is obtained through the purchase of a valid license key. Qbankly does not operate on a recurring subscription model. All payments are one-time transactions for a fixed-term license (e.g., 1 year) or a lifetime license. Your license will not automatically renew. To maintain access after a fixed-term license expires, you must manually purchase a new license. All payments are processed by third-party payment providers, and we do not store your payment information.

7. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

8. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance. Qbankly does not warrant that the Service will function uninterrupted, secure or available at any particular time or location; or that the content is accurate, reliable, or correct.

9. Limitation of Liability

In no event shall Qbankly, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service. The Service is provided for educational purposes only and does not constitute medical advice.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which our company is established, without regard to its conflict of law provisions.
